Who we are

PrizeBot is provided by Totem Lake Software LLC, a Washington limited liability company. In these Terms, "PrizeBot," "we," "us," and "our" refer to Totem Lake Software LLC.

Use of the service

PrizeBot is a Slack-based rewards and recognition service. You may use PrizeBot only in compliance with these Terms and all applicable laws.

If you install, purchase, manage, or configure PrizeBot for a workspace, you represent that you have authority to act on behalf of that workspace for those purposes.

Workspace accounts and administration

PrizeBot is used in connection with Slack workspaces. Workspace administrators are responsible for installing PrizeBot, configuring workspace settings, managing rewards, prizes, raffle and spin settings, celebrations, uploaded prize images, and controlling administrative access.

You are responsible for maintaining the security of your Slack workspace and any administrator accounts used to manage PrizeBot.

Access and availability

Access to PrizeBot may depend on a valid Slack workspace installation, authorized Slack access, third-party services such as Slack or Stripe, and an active service or billing state where applicable.

We may change, suspend, limit, or discontinue all or part of the service at any time. We are not responsible for downtime, delays, or failures caused by Slack, Stripe, internet outages, or other events outside our reasonable control.

Acceptable use

You may not use PrizeBot to:

  • Violate the law or the rights of others
  • Attempt unauthorized access to PrizeBot, Slack, Stripe, or related systems
  • Interfere with or disrupt the service or its security
  • Abuse, manipulate, or fraudulently use reward, billing, raffle, redemption, celebration, or spin features
  • Upload content you do not have the right to use
  • Use the service in a deceptive, harmful, or abusive manner

Billing, trials, and payments

PrizeBot may be offered on a paid, recurring subscription basis. If your workspace uses a paid version of PrizeBot, you authorize us and our payment processor to charge the applicable fees, taxes, and other amounts due using the payment method provided.

If a free trial is offered, you may cancel before the trial ends and you will not be charged for the paid subscription. If you do not cancel before the trial ends, paid billing begins automatically using the payment method you provided at signup.

PrizeBot bills based on PrizeBot users, not automatically on every member of your Slack workspace. A person becomes a PrizeBot user when that person is manually added to PrizeBot, gives a reward, receives a reward, or is added through birthdays or work anniversaries. If a workspace administrator adds all workspace members to PrizeBot, all of those members count toward billing.

If you cancel after paid billing begins, your workspace remains active until the end of the current paid billing period. PrizeBot users added or becoming billable before that period ends may still count toward that final period's usage-based charges. No prorated refunds will be provided, except where required by law.

If payment cannot be collected, we may suspend, restrict, or deactivate access to paid features or the service until payment issues are resolved.

Current pricing, trial terms, and billing details may be shown on the PrizeBot website, within the product, or during checkout.

Workspace content, prizes, and uploaded images

PrizeBot processes workspace-configured rewards, balances, prizes, raffle entries, spin activity, celebration dates, and related settings in order to operate the service. Workspace administrators are responsible for how they configure and use these features.

Workspace administrators are also responsible for prize descriptions, uploaded prize images, and other workspace-provided content. You represent that you have all rights, permissions, and authority needed to upload, use, display, and configure that content.

You retain ownership of your workspace-provided content. You grant us a limited right to host, store, process, copy, display, and use that content only as needed to operate, maintain, and support PrizeBot.

PrizeBot records and routes redemptions and prize-related activity, but the workspace, not PrizeBot, is responsible for the prizes it offers and for fulfilling those prizes, unless we expressly state otherwise in writing.

Changes to PrizeBot

We may update, modify, remove, or discontinue parts of PrizeBot at any time. We may also change features, pricing, limits, workflows, or functionality as the service evolves.

Intellectual property

PrizeBot and its related software, branding, design, content, and materials are owned by or licensed to us and protected by applicable intellectual property laws. These Terms do not give you ownership of PrizeBot or any related intellectual property.

Indemnification

You agree to defend, indemnify, and hold harmless Totem Lake Software LLC and its affiliates, managers, members, employees, and agents from and against claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your use of PrizeBot, your violation of these Terms, your workspace-provided content or uploaded prize images, your prizes or prize fulfillment, or your violation of any law or the rights of another person or entity.

Suspension and termination

We may suspend, restrict, or terminate access to PrizeBot to protect the service, address misuse, investigate suspected abuse, comply with legal obligations, respond to security issues, enforce these Terms, or address payment failures.

You may stop using PrizeBot at any time. Termination or suspension does not automatically eliminate payment obligations already incurred.

Disclaimer of warranties

PrizeBot is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, profits, revenue, goodwill, or business interruption arising out of or related to the use of, or inability to use, PrizeBot.

To the maximum extent permitted by law, our total liability arising out of or related to PrizeBot or these Terms will not exceed the total amount paid by your workspace for PrizeBot during the 6 months before the event giving rise to the claim. This limitation does not apply to liability that cannot be limited under applicable law.

Governing law and venue

These Terms are governed by the laws of the State of Washington, without regard to its conflict of laws rules. Any dispute arising out of or relating to PrizeBot or these Terms must be brought exclusively in the state or federal courts located in King County, Washington, and you consent to personal jurisdiction and venue in those courts.

Changes to these Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date on this page and may provide notice of material changes by posting on the PrizeBot website, within the product, or by email. Continued use of PrizeBot after updated Terms take effect constitutes acceptance of the revised Terms.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any provision of these Terms is not a waiver of our right to enforce that provision later.

Survival

The sections of these Terms that by their nature should survive termination will survive, including sections relating to billing obligations already incurred, intellectual property, indemnification, disclaimers, limitation of liability, and governing law and venue.
